1. Acceptance of Terms
By accessing this website or engaging services provided by Emily Rose Inc. (“Company,” “we,” “us”), you agree to be bound by these Terms & Conditions and all applicable laws and regulations.
If you do not agree, you should not use this website or engage services.
2. Services
Emily Rose Inc. provides professional services, which may include:
Executive coaching
Advisory and consulting services
Fractional executive leadership (including operational roles)
Strategic planning and organizational support
Services may be delivered in individual, group, or organizational contexts and are governed by separate written agreements where applicable.
3. Nature of Services
All services are advisory, developmental, and strategic in nature.
To the extent coaching services are provided:
Coaching is a collaborative process intended to support awareness, decision-making, and performance
Coaching does not constitute therapy, medical care, or legal, tax, or financial advice
Clients and organizations remain responsible for their own decisions, actions, and outcomes.
4. Engagement Terms
Specific scope, deliverables, timelines, and fees will be defined in a separate written agreement between the Company and the client or organization.
In the event of any conflict between these Terms and a signed agreement, the signed agreement will govern.
5. Client and Organizational Responsibilities
Clients and organizations agree to:
Provide accurate and timely information necessary for service delivery
Designate appropriate points of contact for coordination
Participate in good faith in the engagement
Retain responsibility for all decisions, actions, and implementation
The Company is not responsible for outcomes resulting from client or organizational decisions.
6. Fees, Payments, and Refunds
Fees are as specified in the applicable agreement or invoice
Payments are due according to agreed terms
Unless otherwise stated in writing, all payments are non-refundable
Late or failed payments may result in suspension or termination of services
7. Scheduling and Availability
Scheduling, availability, and communication expectations will be defined within each engagement.
For advisory and coaching services:
Sessions or meetings must be scheduled in advance
Reasonable notice is required for rescheduling
Ongoing access outside scheduled sessions is limited and defined by the engagement scope
For fractional or embedded roles, availability will be governed by the agreed scope of services.
8. Confidentiality
The Company will maintain the confidentiality of all non-public, proprietary, or sensitive information received during the course of an engagement, except:
As required by law
As necessary to perform services (e.g., internal use within the Company)
As otherwise authorized in writing
Clients and organizations are responsible for maintaining appropriate internal confidentiality protocols.
Electronic communications may involve inherent security risks; no system is guaranteed to be fully secure.
9. Intellectual Property
Unless otherwise agreed in writing:
All pre-existing materials, frameworks, methodologies, and intellectual property of Emily Rose Inc. remain the sole property of the Company
Clients are granted a limited, non-transferable license to use materials for internal purposes only
Client or organizational materials provided to the Company remain the property of the client.
10. Limitation of Liability
To the fullest extent permitted by law:
Emily Rose Inc. shall not be liable for:
Indirect, incidental, or consequential damages
Loss of profits, revenue, or business opportunities
Outcomes resulting from client or organizational decisions
Total liability, if any, shall not exceed the fees paid for the services giving rise to the claim.
11. Indemnification
Clients and organizations agree to indemnify and hold harmless Emily Rose Inc. from any claims, damages, liabilities, or expenses arising from:
Use of services
Decisions or actions taken based on services
Breach of these Terms or applicable agreements
12. Independent Contractor Relationship
The Company operates as an independent contractor.
Nothing in these Terms or any engagement creates:
An employment relationship
A partnership or joint venture
Authority to bind the client or organization
13. Termination
The Company reserves the right to suspend or terminate services:
For non-payment
For breach of agreement
Where continuation of services is not feasible or appropriate
Termination terms for specific engagements will be governed by the applicable agreement.
14. Third-Party Services
The Company is not responsible for the performance, content, or policies of any third-party vendors, platforms, or service providers utilized during an engagement.
15. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Texas.
16. Changes to Terms
The Company reserves the right to update these Terms & Conditions at any time.
Continued use of the website or services constitutes acceptance of any updates.
